These terms and your organisation
These Terms of Service govern use of Alloovium’s websites, workspace and mobile app, provided by Alloovium Pty Ltd (ABN 49 693 653 244), Queensland, Australia. “Customer” means the organisation subscribing to the service. “You” means the person using it or, where you are authorised to contract for the Customer, that Customer.
A separately agreed customer contract, order form or data-processing agreement controls the matters it expressly covers if it conflicts with these terms. These terms do not silently replace a signed agreement. Using an invited account does not by itself authorise you to buy a subscription or bind your employer to new commercial terms.
The service helps teams manage project information, work, evidence and AI-assisted tasks. Features depend on the subscribed service, permissions and availability. A roadmap, demonstration or QA build is not a commitment that a feature is released.
Accounts and access
Use an account you are authorised to use and provide accurate account information. Keep passwords, verification codes and sessions private. Do not share an account or attempt to access another organisation’s material. Tell us promptly about suspected compromise.
Your organisation manages invitations, roles and project access. Losing access to a workspace does not itself delete all information you contributed. Personal-information requests are handled under the Privacy Policy and the account-deletion process.
You must be legally able to use the service and have any employer, guardian or other authority required for your circumstances. The app is intended for authorised workplace use.
Your content and our permission to process it
“Customer Content” includes documents, communications, project data, photos, recordings, transcripts and other material you or your organisation provide, along with records and drafts produced for that workspace. As between the parties, you and your organisation retain your respective rights in that content.
You authorise us and the providers needed for the feature to host, copy, transmit, index, analyse and display Customer Content to provide the requested service, support it, protect it and meet applicable legal requirements. This permission is limited by the relevant customer agreement and Privacy Policy. It does not transfer ownership of the content to us.
These terms do not grant us permission to sell Customer Content or use it to train a general-purpose model. Any separate use requiring additional authority or consent must be agreed separately. Rights in AI-generated material can depend on the source material, provider terms and applicable law; we do not guarantee that an output is unique or eligible for intellectual-property protection.
You must have the rights, permissions and lawful basis needed to upload or connect content and to authorise the requested processing. Respect confidentiality, copyright, privacy and recording rules, including for information about colleagues or third parties.
AI assistance and construction decisions
Max and other AI features generate responses from inputs and available context. They can misunderstand a request, omit information or produce inaccurate statements and citations. Check the source, revision, date, calculations and relevance before relying on an answer or sharing a generated document.
The service does not replace a competent person’s engineering judgement, site supervision, safety assessment, legal advice, contract administration or statutory duties. Do not rely on it as an emergency service. Use the relevant emergency channels when necessary.
An answer, draft, suggested action or uploaded photo does not itself approve work, satisfy an inspection requirement, release a hold point, sign a certificate or give another person authority. Formal decisions and actions must follow the applicable workflow and be made by authorised people.
Review recipient, content, project and consequences before confirming any action that sends a message, changes a record or affects another person. Feature-specific confirmation requirements still apply. We do not promise that every AI output is independently reviewed by a person before it reaches you.
Mobile capture, offline work and permissions
The app may store pending records on your phone until they can be uploaded. A local receipt marked waiting is not a saved server record. Confirm that important records are successfully saved and can be reopened before clearing local data, signing out or replacing a device.
Camera, microphone, photo and optional location permissions apply to the features that use them. You are responsible for obtaining any required permission before recording people or site information. Follow site rules and do not use the app in a way that distracts from safe work.
Optional AI processing is described at the point of consent. You can withdraw it through the app’s privacy controls. Withdrawing permission stops new consent-controlled requests; it does not reverse completed actions or recall information already sent.
Availability depends on your device, connectivity and the relevant providers. Beta, development and QA releases are for evaluation and can differ from the production service. Do not treat test data or test results as an approved project record.
Acceptable use
Do not use the service to break the law, infringe rights, harass people, distribute malicious content, falsify evidence or impersonate someone. Do not upload material you are prohibited from disclosing or use another person’s credentials.
Do not bypass permission checks, extract another customer’s data, interfere with the service, probe it without authorisation or attempt to make an assistant reveal secrets or perform prohibited actions. Reasonable security research requires prior coordination and an agreed scope.
Do not misrepresent generated material as verified fact or a person’s approval. Preserve attribution and record history when correcting project information. Report problematic AI output or content using the app’s reporting controls or support@alloovium.com.
Integrations and other providers
Connecting an external service authorises the requested exchange of information, subject to the permissions granted by you or your administrator. Check the account, scope and destination before connecting. Third-party services have their own terms, availability and privacy practices.
Disconnecting an integration does not necessarily remove records already imported, messages already sent or copies held by another provider. Review the relevant service’s controls and contact us about information held by Alloovium.
We may change a provider or integration where needed to operate the service, subject to any customer commitments and required notices. We do not guarantee continued access to a third-party service outside our control.
Subscriptions and charges
Fees, billing periods, usage limits, renewal and cancellation arrangements are those expressly agreed in your customer contract or order. Downloading the mobile app or accepting an invitation does not itself create a new paid subscription.
Your organisation’s authorised billing contact manages its subscription. Deleting an individual account does not cancel the organisation’s subscription. We will not treat these terms as permission to charge for an unagreed plan or feature.
Mandatory consumer rights, including any applicable Australian Consumer Law guarantees, remain unaffected. Any agreed refund or cancellation provisions operate subject to those rights.
Privacy, confidentiality and support
Our Privacy Policy explains collection, use, providers, overseas processing, retention and individual choices. You must respect other people’s privacy and any customer confidentiality obligations when using the service.
Each party must protect confidential information received through the relationship and use it only for authorised purposes, except where disclosure is required by law or allowed by the applicable agreement. This does not prevent a person from exercising legal rights, reporting wrongdoing or contacting a regulator.
Contact support@alloovium.com for product and account assistance. Do not include passwords, verification codes or unnecessary confidential documents in a support request. Any service-level or support-response commitment must be expressly agreed; the existence of a contact page is not a 24-hour response guarantee.
Availability, changes and intellectual property
We maintain and may update the service, including to address security, legal, compatibility and reliability issues. Maintenance, outages and provider failures can interrupt access. Any guaranteed availability or notice requirement is governed by the applicable customer agreement.
We retain rights in our software, branding and service design, excluding Customer Content and third-party material. Subject to these terms and the customer agreement, you may use the service for its authorised purpose. You may not reproduce or exploit our software beyond the permission granted or what applicable law allows.
Feedback can be used to improve the service, but sharing feedback does not grant us ownership of confidential project content or personal information included with it.
Suspension, leaving and account deletion
We may restrict access where reasonably necessary to address a security threat, unlawful use, a material breach or an applicable contractual suspension right. Where appropriate and lawful, we will explain the reason and how to resolve it. We will not use a suspension to remove mandatory privacy or consumer rights.
Customers can end their service under their agreed contract. Arrange any needed exports before access ends. Retention and deletion are governed by the Privacy Policy, the applicable agreement and legal requirements, not an assumption that every copy disappears at the moment of termination.
Individuals can start an account-deletion request in Settings → Privacy and account or through the Delete account page. We verify and review the request and explain the outcome. Shared personal content is included in that review; unrelated records belonging to others are not automatically deleted.
Responsibility and mandatory rights
Each party is responsible for its obligations under the applicable agreement and law. You are responsible for authorised use, the material you provide and the decisions you make using the service. We remain responsible for our own obligations; an AI disclaimer does not remove them.
Nothing in these terms excludes, restricts or modifies a guarantee, remedy, liability or right that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law. Any lawful limitation of liability or agreed remedy in a signed customer contract applies according to that contract and applicable law.
For matters not addressed in an applicable agreement, responsibility and remedies are determined by applicable law.
Changes, disputes and contact
We show the revision date when these terms change and provide appropriate notice of material changes. Changes take effect as notified and subject to applicable law and any customer agreement. They do not retrospectively authorise a new use of information or replace a signed contract without the required agreement.
Contact us first if there is a service dispute so we can try to resolve it. Subject to mandatory law and any separately agreed jurisdiction, these terms are governed by Queensland law and disputes may be brought in the courts of Queensland, Australia. This does not prevent a complaint to a regulator or access to a court or remedy available under mandatory law.
If a provision is unenforceable, the remaining provisions continue to the extent permitted by law. A delay in enforcing a right does not automatically waive it.
